Sales Representative Terms and Conditions

This agreement sets forth the Terms and Conditions ("Agreement") for individuals ("Sales Representative", "You") who are accepted into the Commpair Sales Program. By applying to and participating in the program, you agree to comply with the terms outlined below.

1. Independent Contractor Relationship

By participating in the Commpair Sales Program, you understand and agree that you are operating as an independent contractor, not as an employee, agent, or partner of Commpair ("Company"). As such, you are solely responsible for your own work methods, tools, time management, tax obligations, and any other personal or business-related costs incurred while performing your duties.

You will not be entitled to any employment benefits offered to Commpair employees, including but not limited to health insurance, paid time off, unemployment benefits, or retirement contributions. This relationship does not create a joint venture, agency, or fiduciary relationship between you and Commpair.

2. Appointment and Termination

Upon successful review of your application, Commpair may appoint you as a Sales Representative. This appointment does not constitute a permanent or contractual guarantee of continued engagement.

  • Voluntary Resignation: You may terminate your participation in the program at any time by submitting a written notice via email to Commpair.

  • Company Termination: Commpair reserves the right to terminate your appointment at any time, with or without cause, and without notice. Grounds for immediate termination include, but are not limited to, unethical conduct, misuse of the Commpair brand, or breach of these terms.

Termination does not waive any rights, responsibilities, or entitlements earned before the termination date.

3. Conduct and Brand Representation

As a Sales Representative, you are authorized to promote Commpair and its services using ethical and professional marketing practices. You may represent the Commpair name and brand using approved promotional materials or messaging provided by Commpair. You may also create your own marketing content, provided it complies with the following rules:

  • No Unauthorized Use of Copyrighted Materials: You may not use music, images, videos, or any other media protected under copyright laws unless you hold a valid license or have created the content yourself.

  • No Slander, Defamation, or False Claims: You may not make false or misleading statements about Commpair, its services, employees, clients, or competitors. Any defamatory remarks or slander will result in immediate termination and may be subject to legal action.

  • No Controversial or Harmful Content: Use of violent, discriminatory, sexually explicit, or otherwise inappropriate content in association with Commpair's name or services is strictly prohibited.

Violation of any of the above policies may result in permanent removal from the program and possible legal consequences.

4. Marketing and Promotion

You are free to promote Commpair in any method that aligns with these terms and all applicable laws. You may use:

  • Social media platforms

  • Email campaigns

  • Personal referrals

  • Business networking

  • Online forums or communities

However, you may not engage in:

  • Spamming or unsolicited advertising

  • Misrepresentation of your relationship with Commpair

  • Use of fake profiles or deceptive practices

  • Paid advertising under the Commpair brand without written permission

Commpair reserves the right to review any marketing material at any time and request its removal if deemed inappropriate.

5. Client Acquisition and Commission Eligibility

Commpair operates on a piece-rate commission basis. You will receive a commission for each qualified client you acquire. To be eligible for a commission:

  • The client must sign a valid service agreement with Commpair.

  • The client must remain in good standing with Commpair for a minimum of twelve (12) months.

  • The client must make at least one successful payment to Commpair.

A "client acquisition" is defined as a business or individual that:

  1. Was referred to Commpair by you through direct contact or using your personalized referral process;

  2. Was not previously in contact with Commpair or listed in our system as a lead;

  3. Has not worked with Commpair in the past 12 months.

Commissions will only be paid for clients who meet all three criteria. Leads that do not convert or result in early cancellation will not be eligible for payment.

6. Commission Payments and Timing

Commissions are calculated as a percentage or fixed rate based on the services purchased by your referred client, as outlined in the official pricing documentation you will receive upon appointment.

  • Payments will be processed [monthly/biweekly – insert schedule].

  • Minimum payout threshold may apply (e.g., $50).

  • Payment methods include PayPal, Wise, or bank transfer (as specified by you upon registration).

  • All commissions are subject to review and approval by Commpair before disbursement.

You are solely responsible for reporting and paying any income taxes or other liabilities associated with your earnings.

7. Legal Responsibility and Indemnity

By participating in this program, you agree to:

  • Operate within the laws of your country or region;

  • Refrain from any activity that could damage Commpair’s reputation or operations;

  • Indemnify and hold harmless Commpair, its employees, and affiliates from any claims, losses, or legal action resulting from your conduct.

Any breach of this agreement may result in legal proceedings, including recovery of damages, legal fees, and termination of all outstanding commissions.

8. Updates to Terms

Commpair reserves the right to modify or update these Terms and Conditions at any time. You will be notified of material changes via email or official website notice. Continued participation after any changes constitutes acceptance of the revised terms.

9. Acceptance

By applying to the Commpair Sales Program and accepting an appointment, you acknowledge that you have read, understood, and agreed to abide by these Terms and Conditions in full.
